1. Acceptance of Terms
By accessing or using ManualVault ("the Service"), operated at manualvault.io, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
ManualVault is a cloud-based platform for managing equipment manuals. The Service allows you to upload, organize, search, and query equipment manuals using AI, track warranties and maintenance schedules, and collaborate with team members.
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
4. Your Content
You retain ownership of all content you upload to the Service, including manuals, documents, and data ("Your Content"). By uploading content, you grant us a limited license to store, process, and display it as necessary to provide the Service.
You represent that you have the right to upload any content you submit and that it does not violate any third party's rights.
5. Our Intellectual Property
The Service, including the ManualVault name, logo, website, source code, design, user interface, documentation, and all related materials (collectively, "Our IP"), is owned by ManualVault and protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. This license does not grant you any ownership rights in Our IP.
You may not, without our prior written permission:
- Copy, modify, distribute, sell, or lease any part of the Service or Our IP
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the ManualVault name, logo, or any confusingly similar mark for any product or service
- Remove or alter any copyright, trademark, or other proprietary notices
- Scrape, mirror, or replicate the Service or its content
"ManualVault" and the ManualVault logo are trademarks of ManualVault. All rights not expressly granted are reserved.
6. Copyright Complaints (DMCA)
If you believe content on the Service infringes your copyright, send a notice to support@manualvault.io including: (a) your contact information, (b) identification of the copyrighted work, (c) the URL or location of the allegedly infringing material, (d) a statement made in good faith that the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and you are authorized to act, and (f) your physical or electronic signature.
We respond to valid notices by removing or disabling access to the material and will notify the user who uploaded it. Repeat infringers may have their accounts terminated.
7. AI-Generated Content
The Service uses artificial intelligence to extract information from manuals and answer questions. AI-generated responses are provided for informational purposes only and may contain errors. You should not rely solely on AI responses for safety-critical decisions. Always consult the original manual for critical procedures.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload content that infringes on intellectual property rights
- Attempt to gain unauthorized access to the Service or other users' data
- Interfere with or disrupt the Service's infrastructure
- Use automated means to access the Service beyond normal API usage
- Resell or redistribute the Service without authorization
9. Plans and Billing
The Service offers free and paid subscription plans. Paid plans are billed monthly through Stripe. You may upgrade, downgrade, or cancel your subscription at any time.
Upgrades take effect immediately. Downgrades take effect at the end of the current billing period. Refunds are not provided for partial billing periods.
We reserve the right to change pricing with 30 days' notice. Price changes do not affect the current billing period.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any downtime.
11. Data and Backups
We take reasonable measures to protect your data, including regular backups and encryption. However, you are responsible for maintaining your own copies of critical documents. We are not liable for data loss.
12. Termination
You may delete your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your data will be deleted within 30 days unless required by law to be retained.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANUALVAULT AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that AI-generated answers are accurate, complete, or suitable for any particular purpose. Equipment maintenance and safety decisions should be made based on official manufacturer documentation.
15. Indemnification
You agree to indemnify and hold harmless ManualVault and its operators from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.
16. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in New York.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the Service after changes constitutes acceptance of the new Terms.
